Z1 RACETECH SOFTWARE TERMS OF USE AGREEMENT

PLEASE READ THESE TERMS OF USE CAREFULLY. BY INSTALLING, COPYING, OR OTHERWISE USING THE Z1 SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL, COPY, OR USE THE Z1 SOFTWARE.

DEFINITIONS
1. Software: The Z1 Dashboard, Z1 Analyzer, Z1 Server, and Z1 Designer applications in binary form, any other machine-readable materials (including, but not limited to, libraries, source files, header files, and data files), any updates or error corrections provided by zBlueSoftware, and any user manuals, programming guides, and other documentation provided to you by zBlueSoftware under this Agreement.

LICENSE TO USE
1. zBlueSoftware grants you a limited, non-exclusive, non-transferable license to install and use the Software on one machine, only in association with the license number provided to the buyer by zBlueSoftware at the time of purchase.

RESTRICTIONS
1. Software Ownership: The Software is confidential and copyrighted. Title to the Software and all associated intellectual property rights is retained by zBlueSoftware. Unless enforcement is prohibited by applicable law, you may not modify, decompile, copy, or reverse engineer the Software.

2. Trademarks and Trade Names: No right, title, or interest in or to any trademark, service mark, logo, or trade name of zBlueSoftware,Z1 RaceTech, Z1 Sim Wheel, Z1 Dashboard, Z1 Analyzer, Z1 Server, Z1 Designer, or its licensors is granted under this Agreement.

PAYMENT AND SUBSCRIPTION TERMS
1. Subscription Tiers: The Software is available under different subscription tiers, each offering varying levels of features and functionality:
- Standard Tier: Access to the core features of the Z1 Software.
- Track Tier: Includes all Standard Tier features plus additional functionalities in Z1 Analyzer and Dashboard.
- Pro Tier: Includes all Track Tier features plus advanced features in the Z1 Analyzer.

2. Subscription: Each subscription tier is available under a monthly or yearly subscription fee, as specified by zBlueSoftware. The subscription fee will be automatically charged to your chosen payment method each month/year until cancelled.

3. Payment Processing: Payment for the Software must be made through zBlueSoftware's authorized payment processor. You agree to provide accurate and up-to-date payment information and authorize zBlueSoftware to charge your chosen payment method for the applicable fees.

4. Cancellation and Refunds: You may cancel your subscription at any time. Refunds are not given for subscription fees already paid.

5. Special Offers: zBlueSoftware reserves the right to run special offers and promotions that may not affect active agreements. These offers will be subject to specific terms and conditions as specified by zBlueSoftware.

DATA USAGE
1. Personal Data: zBlueSoftware does not use or share personal data. All personal information provided is kept confidential and secure.

2. Anonymized Data: zBlueSoftware collects and uses anonymized data to improve its products and customer experience. This data is used for analytics and enhancing the functionality of the Software.

LIMITATION OF LIABILITY
1. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL ZBLUESOFTWARE BE LIABLE FOR ANY LOST REVENUE, PROFIT, OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR RELATED TO THE USE OR MISUSE OF, OR INABILITY TO USE THE SOFTWARE, EVEN IF ZBLUESOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

2. In no event will zBlueSoftware's liability to you, whether in contract, tort (including negligence), or otherwise, exceed the amount paid by you for the Software under this Agreement.

WARRANTY
1. The Software does not come with a warranty and may not be returned once purchased.

GENERAL PROVISIONS
1. Third-Party Agreements: A separate agreement will be required for hardware suppliers and third-party vendors.

2. This Agreement constitutes the entire agreement between you and zBlueSoftware with respect to the use of the Software.

3. This Agreement will be governed by and construed in accordance with the laws of the United States.

By using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
